			<content:encoded><![CDATA[<p class="first"><span class="drop-cap">N</span>okia, the world leader in mobility, and Pearson, the world&#8217;s leading education company, today announced the formation of a joint venture, Beijing Mobiledu Technologies, to accelerate the growth of Mobiledu, the premier mobile phone-delivered education service, developed by Nokia in&nbsp;China.</p>
<p>Launched in China in 2007, Mobiledu is a mobile service that provides English-language learning materials and other educational content, from a variety of content providers, directly to mobile phones. Customers can access the content through an application preloaded on new Nokia handsets, or by visiting the service&#8217;s mobile website and most other WAP portals in&nbsp;China. </p>
<p>Since its launch, Mobiledu has already attracted 20 million subscribers in China, with 1.5 million people actively using the service each month. Mobiledu will continue to be delivered to customers in China through a range of channels, including Nokia&#8217;s Ovi&nbsp;Store.</p>
<p>The new joint venture company will combine the world-class expertise of Nokia in mobile devices and services, and Pearson&#8217;s industry- leading assets and expertise in education, to deliver a wide range of services to meet the high demand for education in China. Headed by Angela Long, formerly head of Mobiledu at Nokia, the Beijing-based company will begin operations&nbsp;immediately.</p>

<p>Thank you, and good morning. Welcome to Motorola&#8217;s fourth quarter results conference call. Today&#8217;s call will include prepared remarks by Sanjay Jha, Co-Chief Executive Officer of Motorola and CEO of Mobile Devices; Greg Brown, Co-Chief Executive Officer of Motorola and CEO of Broadband Mobility Solutions; and Ed Fitzpatrick, Motorola&#8217;s Chief Financial&nbsp;Officer.</p>

<p>I will now turn the call over to&nbsp;Sanjay.</p>
<p><strong>Sanjay&nbsp;Jha</strong></p>
<p>Thanks, Dean. Good morning and thank you for joining us. This morning, Motorola reported results for the fourth quarter and full year 2009. Sales in the quarter were $5.7 billion and net earnings, excluding highlighted items, were $0.09 per share. For the year, sales were $22 billion and net earnings from continuing operations, excluding highlighted items, were $0.02 per&nbsp;share.</p>
<p>Throughout last year, all of our businesses focused on reducing cost, improving cash flow, and providing innovative products and solutions to our customers. In 2009, we reduced our overall cost structure by over $1.9 billion with $1.5 billion coming from – in Mobile&nbsp;Devices.</p>
<p>We generated over $870 million in operating cash flow in the fourth quarter, ending the year with $8 billion in total cash, up nearly $600 million from the end of 2008. In Mobile Devices, we reduced product platform, simplified processes, and delivered two Android-powered smartphone on time in the fourth quarter, all while implementing a major restructuring of the&nbsp;business.</p>
<p>Our new devices have been well received by consumers, resulting in shipments of 2 million smartphones in the fourth quarter. In 2009, we significantly reduced Mobile Devices operating loss and cash consumption compared to 2008. All that said, we are just at the beginning stage of our transition to a smartphone company, and we have a lot of work ahead of&nbsp;us.</p>
<p>Broadband Mobility Solutions delivered over $1.6 billion in operating earnings for the full year despite the economic headwinds, continued to prioritize R&amp;D to position this business for future growth and sustainable market leadership and introduced industry-leading products, including a next generation mission-critical communication platform with APX family of multi-band radios and our most advanced rugged mobile computer with the&nbsp;MC9500.</p>
<p>As we head into 2010, our markets remain extremely competitive, but offer opportunities for growth. Across the company, our priorities will continue to focus on driving innovation, solving customer needs, optimizing our cost structure, and improving our financial&nbsp;results.</p>
<p>I’ll now turn the call over to Ed to review the financial results in more detail. Following that, I’ll come back to discuss Mobile Devices and then Greg will review Broadband Mobility Solutions.&nbsp;Ed?</p>
<p><strong>Ed&nbsp;Fitzpatrick</strong></p>
<p>Thanks, Sanjay. Total sales were $5.7 billion in the quarter and $22 billion for the full year. On a GAAP basis, we reported fourth quarter net earnings of $0.06 per share, which includes net charges of $0.03 per share for highlighted items, which relate primarily to cost associated with business reorganization comparing for separation in two public companies and legal settlements, which are partially offset by a gain in the sales and&nbsp;investment.</p>
<p>Excluding highlighted items, earnings were $0.09 per share in the fourth quarter compared to $0.02 per share in the third quarter. The sequential increase in earnings was driven by the increase in sales and improving gross margin percentage, as well as lower other income and expense&nbsp;costs.</p>
<p>For the full year, on a GAAP basis, we reported a net loss from continuing operations of $0.05 per share compared to a loss of $1.87 per share in 2008. Excluding highlighted items, earnings from continuing operations were $0.02 per share, flat with 2008. Consistent with previously reported results, earnings include non-cash charges for amortization of intangibles and stock-based compensation expense. During this quarter, we will provide details on these expenses to give you additional insight into our earnings&nbsp;performance.</p>
<p>For the quarter and full year on a pretax basis, stock-based compensation expense were $71 million and $296 million respectively. Amortization of intangibles was $68 million and $278 million respectively. Together these expenses impacted earnings per share by $0.04 in the quarter and by $0.16 for the full year. Further details on our highlighted items, stock compensation expense and amortization of intangibles can be found on our Web site. Our remaining financial references will exclude highlighted items and include stock compensation expense and amortization of&nbsp;intangibles.</p>
<p>Gross margin percentage in the quarter was 36% compared to 33.2% in the third quarter. Sequential improvement was due largely to favorable product mix in Enterprise Mobility Solutions and Mobile Devices as well as further supply chain efficiencies in Mobile Devices. For the full year, gross margin percentage improved to 32.3% from 29.9% in 2008, driven largely by the change in our overall sales mix among the&nbsp;businesses</p>

<p>Services net sales of EUR 169 million, up 15% sequentially; billings of EUR 226 million, up 31%&nbsp;sequentially.</p>
<p>Estimated industry mobile device volumes of 329 million units, up 8% year on year and up 14%&nbsp;sequentially.</p>
<p>Nokia mobile device volumes of 126.9 million units, up 12% year on year and up 17%&nbsp;sequentially.</p>
<p>Nokia estimated mobile device market share of 39% in Q4 2009, up from an estimated 37% in Q4 2008 and 38% in Q3 2009. The full year 2009 estimated market share was 38%, down from 39% in&nbsp;2008.</p>
<p>Nokia grew its converged device market share to an estimated 40%, from an estimated 35% in Q3&nbsp;2009.</p>
<p>Nokia improved the ASP of its mobile devices to EUR 63, from EUR 62 in Q3&nbsp;2009.</p>
<p>Devices &amp; Services increased its gross margin to 34.3%, from 30.9% in Q3&nbsp;2009.</p>
<p>NAVTEQ non-IFRS net sales of EUR 225 million, up 9% year on year and up 36% sequentially, and non-IFRS operating margin of 24.0%, down from 25.9% in Q3&nbsp;2009.</p>
<p>Nokia Siemens Networks net sales of EUR 3.6 billion, down 16% year on year and up 31% sequentially (down 17% and up 29% at constant&nbsp;currency).</p>
<p>Nokia operating cash flow of EUR 1.5 billion, more than double the operating cash flow for Q3&nbsp;2009.</p>
<p>Total cash and other liquid assets of EUR 8.9 billion at the end of Q4&nbsp;2009.</p>
<p>Nokia taxes were unfavorably impacted by Nokia Siemens Networks taxes as no tax benefits are recognized for certain Nokia Siemens Networks deferred tax items. If Nokia&#8217;s estimated long-term tax rate of 26% had been applied, non-IFRS Nokia EPS would have been approximately 1 Euro cent&nbsp;higher.</p>
<p><strong>INDUSTRY AND NOKIA&nbsp;OUTLOOK</strong></p>
<p>Nokia expects Devices &amp; Services net sales to be between EUR 6.5 billion and EUR 7.0 billion in the first quarter&nbsp;2010.</p>
<p>Nokia expects its non-IFRS operating margin in Devices &amp; Services in the first quarter 2010 to be negatively impacted by seasonality and to be at the lower end of the range of its full year 2010 target, which continues to be 12% to&nbsp;14%.</p>
<p>Nokia and Nokia Siemens Networks expect Nokia Siemens Networks&#8217; net sales to be between EUR 2.6 billion and EUR 2.9 billion in the first quarter&nbsp;2010.</p>
<p>Nokia and Nokia Siemens Networks expect the non-IFRS operating margin in Nokia Siemens Networks in the first quarter 2010 to be negatively impacted by seasonality and to be below the full year 2010 target, which continues to be breakeven to&nbsp;2%.</p>
<p>Nokia continues to expect industry mobile device volumes to be up approximately 10% in 2010, compared to&nbsp;2009.</p>
<p>Nokia continues to target its mobile device volume market share to be flat in 2010, compared to&nbsp;2009.</p>

<p>All four new H-Series camcorders feature Samsung’s revolutionary new BSI CMOS imaging sensor. Designed to absorb more light than other conventional sensors and deliver unprecedented low-light performance, the BSI CMOS sensor sets new standards for performance and image quality, particularly among entry-level&nbsp;camcorders.</p>
<p><strong>Solid State Drives</strong><br />
Samsung’s new H-Series camcorders offer high-performance internal memory that utilizes Samsung’s Solid State Drives (SSD), which offer a substantial advantage over the use of Hard Disk Drives (HDD) in a digital camcorder. SSD technology provides consumers with higher performing and more durable internal memory. In comparison to HDD, Samsung’s SSD technology is more lightweight and compact, operates silently with very low heat emission, and features no moving parts, which significantly reduces overall power consumption and enhances reliability. The lower power consumption of the H-Series’ SSD technology translates into an impressive battery life of approximately two&nbsp;hours.</p>
<p>No moving parts also make SSD technology more durable and resistant to shock and vibrations, which pose a considerable threat to the performance of HDD based digital camcorders. Additionally, Samsung’s SSD technology is faster than HDD, including quicker boot up and read/write speeds which are required for the amount of data recorded in full-HD resolution. The internal SSD configurations available on Samsung’s new H-Series full-HD camcorders include a 32GB SSD in the HMX-H205, a 16GB SSD in the HMX-H204, and an 8GB SSD in the HMX-H203. Each camcorder’s memory capacity can also be expanded using an SD/SDHC memory card. The HMX H200 does not feature internal SSD memory and requires the use of a SD/SDHC memory&nbsp;card.</p>
<p><strong>Powerful Optics and Touch-Screen LCD</strong><br />
Samsung’s new H-Series full-HD camcorders feature an impressive 37mm wide angle lens, which offers consumers a versatile 20x optical zoom. Unlike other camcorders offering a typical angle of view of 40~50mm, the H-Series’ 37mm wide-angle Samsung lens allows users to fit more of their desired scene into the frame, making the camcorder ideal for recording large groups of family or friends, breathtaking landscapes or even capturing all the action at sporting&nbsp;events.</p>
<p>The H-Series’ lenses are further enhanced with Optical Image Stabilization to help reduce image blur and shaky video, which can be especially helpful when using the camcorders’ full optical zooms. Samsung’s Smart Optical Image Stabilization is superior to image stabilizing technologies found in other camcorders, as it reduces shake and blur across a wider portion of the image frame and produces higher quality images as a result. A 2.7-inch wide, swiveling, touch-screen LCD boasts a 230K-pixel resolution and adds to the user experience by giving consumers uncomplicated and easy access to all of the camcorders’ various controls and&nbsp;settings.</p>
<p><strong>Unique Features<br />
</strong>The new HMX-H205, HMX-H204, HMX-H203 and HMX-H200 are also loaded with a range of unique features such as the ability to capture high-quality 4.7 mega-pixel digital still images, Smart Auto mode, which automatically selects the appropriate scene mode which will produce the best results possible for the user’s shooting scenario, as well as time lapse recording, an innovative setting which will give end-users the ability to take their creativity to a whole new level. When using the camcorders’ time lapse mode, consumers can program the new H-Series camcorders to record a single image at intervals of one, three or five seconds, and then save each image as one single movie file (720p&nbsp;resolution).</p>

Additionally, with Samsung’s Active Angle Lens as well as head-turning ToC design, consumers are able to look good and enjoy an added level of comfort while recording&nbsp;video.”</p>
<p><strong>Record in Style and Comfort</strong><br />
The new SMX-C20, SMX-C24 and HMX-M20 add a level of style and beauty to shooting home videos. Both SMX models offer Samsung’s signature ToC design, which features a hint of color that is naturally blended into the deep black body of the camcorders to create an attractive crystalline appearance. To make shooting home videos more comfortable, all three of the new models boast Samsung’s Active Angle Lens design. Unlike traditional camcorders that force users to hold their arm up at a 90-degree angle while recording video, the Active Angle Lens design, exclusive to Samsung, allows users to hold the camcorder in a more relaxed and natural position due to the fact that the lens is angled downward by 25 degrees. This more natural recording position reduces the overall stress on the wrist and elbow and also removes the LCD screen from the user’s line of sight, enabling them to always keep an eye on their subject while&nbsp;recording.</p>
<p><strong>Record High-Quality Video &amp; Digital Still Images<br />
</strong>Whether it’s documenting an unforgettable vacation or simply capturing the day to day antics of family and friends, Samsung’s new SMX-C20, SMX C24 and HMX-M20 give you access to the highest-quality video and still images. The SMX-C20 and SMX-C24 offer remarkable standard definition video recording at a resolution of 720&#215;480. In addition, both camcorders offer the ability to quickly and easily capture still images at a resolution of two mega&nbsp;pixels.</p>
<p>For those who want even higher-resolution or wish to enjoy the best possible results for viewing their content on their HDTV, the HMX-M20 offers full-HD, 1080/60p video recording. The HMX-M20 also utilizes Samsung’s Back Side Illumination (BSI) CMOS imaging sensor, which was created specifically to absorb more light than other conventional sensors and delivers unprecedented low-light performance. The HMX-M20 also boasts an 8x optical zoom / 12x intelli zoom and the ability to capture still images in stunning 12 mega-pixel resolution, further setting it apart from other camcorders in terms of image quality, versatility and ease of&nbsp;use.</p>
<p>All three camcorders utilize H.264 compression, which allows you to record longer than camcorders using the typical MPEG2 format. The new Samsung SMX-C20 and SMX C24 also come with impressive 10x optical zooms and all three models are paired with Hyper Image Stabilization. Ideal for recording events from a great distance, the camcorders’ impressive optical zooms allow you to get in close to the action no matter how far away you may be. Access to such a powerful optical zoom can come in handy for any number of scenarios, ranging from recording your child’s soccer game from the sidelines to the sights and sounds of a trip to the city. Additionally, Samsung’s Hyper Image Stabilization gives you the ability to capture clear and stable video as it counteracts the negative effects of a shaky hand while recording, which can lead to blurry&nbsp;footage.</p>
<p>Samsung also provides different memory options for recording footage with the new SMX-C20, SMX C24 and HMX-M20. With the SMX-C24, users can take advantage of 16GB of built-in flash memory. Users can also expand the camcorder’s memory capacity using the SD/SDHC memory card slot. The SMX-C20 and HMX-M20 do not feature internal memory and require the use of SD/SDHC media&nbsp;cards.</p>
<p><strong>Smart Features for Editing and Sharing<br />
</strong>The SMX-C20, SMX-C24 and HMX-M20 come equipped with Samsung’s play-edit-sharing program called intelli studio. The built-in intelli-studio software gives users the ability to connect the camcorder to any computer via USB and edit and play their video without having to install supporting software. The built-in intelli-studio software also helps simplify the way users upload and share their footage using today’s popular video sharing Web sites. For added convenience, a one-touch “upload” button, available directly on the camcorders, provides a direct connection to YouTube™, taking the hassle and confusion out of uploading footage. In addition, the SMX C20, SMX-C24, and HMX-M20 also provide options for basic on-camera editing, including the ability to merge and split video files. This can be done directly on the camcorders using their 230K-pixel, swiveling 2.7-inch wide LCD&nbsp;screens.</p>
<p>Samsung also enhances the video recording experience for end-users thanks to several unique features, including time lapse recording, animated thumbnails and a versatile charging system. Time lapse recording allows users to program the camcorder to record at a pre-set interval of one image every one, three, five, 10, 15 or 30 seconds. Time lapse recording is especially useful for condensing extremely long events, such as rolling clouds on a sunny day, into a short, easy to-view&nbsp;video.</p>
<p>Samsung’s animated thumbnail feature simplifies the way users search for video clips on the SMX-C20, SMX-C24, and HMX-M20. Each video clip saved on the camcorder is represented by a small thumbnail on the LCD screen. When scrolling through one’s videos, each thumbnail will provide a short playback of the video file when highlighted by the user allowing them to quickly preview each clip without having to view the entire shot. The camcorders also feature a versatile charging system. Users can either recharge the battery by connecting the camcorder to the supplied AC adapter or via USB while the camcorder is connected to a&nbsp;computer.</p>

From the award-winning 9000 Series, to the Innovations Honoree 7000 and 6500 Series, consumers have virtually unlimited choice of models to fit their individual entertainment preferences and lifestyle. The flagship 9000 series specifically is flat-out Samsung’s most impressive HDTV to date&thinsp;&#8211;&thinsp;the quintessential slim LED TV with a premium touch-screen remote control and built-in 3D technology, setting a new standard for jaw-dropping home theater picture quality and connectivity. Applications can be downloaded and viewed all while watching TV. All of the premium LED TVs, 6500 Series and above, will include the upgraded Internet@TV with Samsung&nbsp;Apps.</p>

<p><strong>Redefining the Remote<br />
</strong>In another industry first, Samsung developed an easy to use on-board TV display full touch-screen remote control. The remote’s color touch-screen makes understanding features and options easy and simple. Its integrated Wi-Fi and infrared technology controls TV and AV devices with the on-screen buttons and QWERTY keyboard. It allows users to watch broadcast content directly on the remote so you can watch the first part of the big game, while a Blu-ray movie is just wrapping up on the large screen HDTV(9000 Series only). You can also browse music, photos, and video files from a DLNA certified PC then swipe the chosen content in the direction of the TV to enjoy on the larger screen (9000 Series only). The remote is the primary remote control for the 9000 Series and a derivative version of it is sold separately as an option for other LED TV models including the 7000 and 8000&nbsp;Series.</p>
